Company and Share Valuations

Friel Stafford have substantial experience in company and share valuations.

Share valuations can be required for a wide variety of reasons. Friel Stafford  can provide a valuation of a private entity operating in any sector using professional experience and judgement and tried and tested valuation methodologies which stand up to scrutiny.

In arriving at a valuation, we look at not only the operation of the business, the financial data of the business, but look at broader industry and economic trends as well. A key issue in any valuation of shares is the % shareholding being valued.  There are significant discounts applied to valuing a minority shareholding,

We can provide valuations for probate purposes, capital acquisitions tax purposes, shareholder disputes, management buy outs, management buy ins, tax purposes and divorce/separation cases.

We are on the Valuation Panel used by the Revenue Commissioners.

We regularly use our share valuation expertise to settle shareholder disputes and cases of oppression of minorities. In this regard we had extensive experience of utilising the old provisions of Section 205 of the 1963 Companies Act, and we have since obtained practical experience of Section 212 of the 2014 Companies Act. Apart from using our share valuation expertise to settle shareholder disputes, we are able to bring our expert knowledge of company law, tax, fraud investigations, pensions and re-structuring to help negotiate a solution.

We have a strong track record of negotiating settlements on behalf of both majority and minority shareholders, and of selling businesses.

We also have a strong record of using our expertise to raise additional capital from new investors and to achieve management buy outs or management buy ins.

We have a strong network of experienced solicitors and Counsel to help negotiate solutions.
